1. ACCEPTANCE

Acceptance of our quotation or the placing of an order shall constitute acceptance of these terms and conditions in their entirety, unless specifically varied in writing by Greenwave Press.

2. QUOTATIONS AND ESTIMATES

(a) Quotations are based on current costs of materials and services and unless otherwise agreed in writing, are subject to meet any rise in such costs between the date of quotation and the date of execution, except that such quotation shall be held firm for thirty (30) days.
(b) When quotations are based on specifications, roughs, layouts, samples, dummies or printed, typewritten or other good copy provided by the client, any work or cost caused by any variation by the customer of their original work or specifications shall be additionally chargeable.
(c) Upon acceptance by the customer, Greenwave Press's written quotation shall be deemed to have interpreted the customer's instructions correctly.

3. YOUR SUBMISSIONS

Order processing will begin when the following items are complete:

(a) Press-ready files are received
(b) Payment is processed and received

4. PROOFS AND COLOUR MATCHING

(a) If requested by the customer, proofs of work will be submitted for the customer's approval by portable document format (.pdf) only prior to printing. Greenwave Press shall not be responsible for and the customer hereby waives and releases Greenwave Press from liability for any errors not corrected by the customer on proofs. If no proof is requested by the customer, the customer hereby waives and releases Greenwave Press from liability for any errors.
(b) Greenwave Press can not be responsible for matching colours or ink densities on electronic .PDF proofs approved by customers. PDF proofs can only display text accuracy, image placement and proportion, but not colour or ink density. Greenwave press will make every reasonable effort to match the gradient density of each colour, however, we can not be held responsible for the final appearance of a colour. All printing is full colour CMYK. Pantone Matching System (PMS) colours are available only by custom order and may vary from listed prices, please contact us for pricing.

5. SHIPPING DELAYS OR DAMAGE IN TRANSIT

Delays or Damage to product during shipping is the sole responsibility of the carrier providing shipping services. Greenwave press shall not be held responsible for any delays or damage caused during shipping for any reason. Greenwave Press will not be liable for any claims of loss of business or any damages due to shipping delays or damage caused during shipping.

6. OUTSIDE WORK

Where the performance of any contract with the customer requires Greenwave Press to obtain goods or services from a third party, the contract between Greenwave Press and the customer shall automatically incorporate, and shall be subject to, the conditions of supply by the third party of such goods and services and the customer shall bear the full cost of such goods or services.

7. SPECIAL PURCHASES

Dies, knives, engravings or other special materials purchased for the execution of the customer's order shall be chargeable, but remain the property of Greenwave Press.

8. OVERS AND UNDERS

Greenwave Press makes every effort to deliver work in the precise quantity ordered, but the customer agrees to make no claim for damages in the event that the quantity delivered is within 10 percent of the quantity specified; credit shall be given for such shortfall and such excess shall not be chargeable.

9. CLAIMS

(a) All claims in respect of work, or the quality or quantity thereof, shall be made in writing within 5 business days of receipt by the customer. In the absence of such a claim, the work shall be deemed to have been received, checked and accepted as fully complying with the customer's specifications.
(b) No changes to layout, artwork or colour will be permitted on re-printed orders. Greenwave Press will only re-print the exact same artwork with the printing errors corrected. The re-print will be scheduled on the next available print-run and any claim of liability or damages against Greenwave Press shall be limited to our requirement to re-print the job even when the completion deadline does not meet the originally requested deadline.

11. REFUSAL OF SERVICE

We reserve the right to refuse any order at our own discretion (e.g. due to inapprortiate or distasteful subject matter.)

12. FILE ERRORS

Greenwave press will contact the customer when errors are detected in their supplied files. The customer will be alerted to the issue and given the following choices:

(a) Resubmit a corrected file (this will be treated as a new order). A $15.00 processing fee will be charged, or;
(b) Request an estimate for Greenwave Press to correct the files. This action will require additional payment before the order will be processed.

13. CANCELLATIONS

Partial refunds are available on orders that are being processed but have no gone to press. A refund will be given for the portion of work that has not been completed. A $15.00 processing fee will be charged in such cases. For orders already on the press or printed, no refunds will be given. To cancel an order call us at 250-860-3713. You will need to provide your order number, which can be found in the subject line of the email you received after placing your order.

14. LIABILITY

Greenwave Press shall not be liable for indirect or consequential loss, or for any loss to the customer arising from third party claims or delay of delivery.

15. FORCE MAJEURE

Contracts and deliveries may be suspended or delayed in the event of any strike, lockout, trade dispute, fire, tempest, breakdown, riot, theft, crime, civic disturbance, war, legislation, force majeure, the inability of the printer to procure essential materials due to any of the foregoing causes, or any other occurrence beyond our control preventing or retarding performance of the contract or delivery of work, and no responsibility shall attach to Greenwave Press for any delay, default, loss or damage resulting from any of the above causes, and the customer releases and indemnifies Greenwave Press and undertakes not to bring any claim for damages against Greenwave Press arising from any circumstances described herein.

16. GENERAL LIEN

In respect of all unpaid debts due from the customer, Greenwave Press shall have a general lien on all goods and property in our possession (or such goods or property in our possession as we think fit) and shall be entitled on the expiration of 14 days and to apply the proceeds towards satisfaction of such debts. Such lien shall further extend to all goods produced or supplied by us wheresoever located, for which payment has not been received, and we shall be entitled to enter the customer's premises and repossess such work and dispose of it, applying the proceeds towards satisfaction of the debt, and such repossession and or disposition shall not annul nor diminish to any degree the obligation of the customer with respect to remaining unpaid amounts, nor mitigate the rights and recourse of the printer under law for full recovery of said debts and costs of collection thereof.

17. WAIVER

Notwithstanding that Greenwave press may agree with respect to any specific transaction, neither expressly or by implication, to waive one or more of these terms and conditions, such agreement shall in no way release the customer from the other terms, conditions, obligations, or requirements set out herein.

18. STANDING MATERIAL

At Greenwave Press's discretion, all plates, type, cutting forms and other printing materials used in the production may be broken up and/or destroyed immediately on completion of work unless we are specifically requested in writing to keep it standing. All such matter kept standing shall remain the property of Greenwave Press.

19. CUSTOMER'S PROPERTY AND MATERIAL SUPPLIED BY CUSTOMER

(a) Customer's property and all property and material supplied by the printer by or on behalf of the customer (including goods in transit) are held at the customer's risk and Greenwave Press accepts no liability whatsoever for loss of, or damage to, such property or material unless otherwise agreed in writing.
(b) Where the customer supplies materials, they shall supply an adequate quantity to provide for in-production run up and spoilage.

20. GREENWAVE PRESS' PRIVACY POLICY

(a) We understand that sharing your unique personal information online requires a great deal of trust on your part and we take this trust very seriously. Greenwave Press promises to make it our highest priority to ensure the security and confidentiality of the unique personal inermation ("UPI") you provide us. UPI includes any information that can be linked to a specific individual, such as name, address, phone number, e-mail address or financial information.
(b) Greenwave Press follows the 10 principles of the Canadian Privacy Acts to ensure the safety of your UPI in accordance with the Personal Information Protection and Electronic Documents Act.
(c) The purpose of the Personal Information Protection and Electronic Documents Act is to provide Canadians with a right of privact with respect to their personal information that is collected, used or disclosed by an organization in the private sector in an era in which technology increasingly facilitates the collection and free flow of information. Privacy Principles
(d) The privacy provisions are based on the Canadian Standards Association's Model Code for the Protection of Personal Information recognized as a national standard in 1996. The standard addresses the ways in which organizations collect, use, and disclose personal information. It also addresses the rights of individuals to have access to their personal information and to have it corrected if necessary. THE 10 PRINCIPLES ARE:

(1) Accountability: An organization is responsible for personal information under its control and shall designate an individual or individuals who are accountable for the organization's compliance with the following principles. The person responsible for compliance at Greenwave Press is Gerry Mitzel.
(2) Identifying purposes: The purpose for which personal information is collected shall be identified by the organization at or before the time the information is collected. The purpose for Greenwave Press collecting your personal information is to allow us to verify and complete your orders.
(3) Consent: The knowledge and consent of the individual are required for the collection, use or disclosure of personal information, except when inappropriate. Your consent is implied by reading and completing an online profile with Greenwave Press.
(4) Limiting Collection: The collection of personal information shall be limited to that which is necessary for the purposes identified by the organization. Information shall be collected by fair and lawful means. Greenwave Press asks for information relevant to verifying and completing your orders.
(5) Limiting Use, Disclosure, and Retention: Personal information shall not be used or disclosed for purposes other than those for which it was collected, except with the consent of the individual or as required by the law. Personal information shall be retained only as long as necessary for the fulfillment of those purposes. Your profile can be deleted at any time; however a record of your orders and invoices must be retained by us for seven years for Revenue Canada purposes.
(6) Accuracy: Personal information shall be as accurate, complete, and up-to-date as is necessary for the purposes for which it is to be used. You can update your profile at any time.
(7) Safeguards: Personal information shall be protected by security safeguards appropriate to the sensitivity of the information. All UPI is stored at security levels that exceed outlined standards.
(8) Openness: An organization shall make readily available to individuals specific information about its policies and practices relating to the management of personal information. Please contact Colin Mitzel if you have any question or concerns regarding our safeguarding of your information.

YOUR ONLINE PROFILE
(e) If you wish to place an online order with Greenwave Press we do require that you creat an online profile. Within that profile we will ask you for unique personal information that we require in order to provide service to you .  (f) Greenwave Press does not retain ANY customer credit card information anywhere on our website. Greenwave Press will never ask for your credit card information by email.  (g) Greenwave Press will only use your unique personal information to fulfill your order requests. We never sell or share any information about our clients with any source for any reason. Greenwave Press will also never send you unsolicited emails except in the case of major notification of an urgent matter pertinent to our relationship with our customers, or to update the status of your order.
